Acceptance of Terms
By accessing or using Intraprism services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all users, including administrators, employees, and any other individuals who access the platform through your organization's account.
Service Description
Intraprism is a cloud-based enterprise resource planning platform offering integrated modules for human resources, finance, document management, email, AI assistance, approval workflows, and more. Services are provided on a subscription basis with various plan tiers. We reserve the right to modify, suspend, or discontinue any aspect of the service with reasonable notice.
Account Registration
To use our services, you must register for an account and provide accurate, complete information. You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized use - Ensuring all users within your organization comply with these terms We reserve the right to refuse service or terminate accounts at our discretion.
Subscription and Billing
Subscriptions are billed on a monthly or annual basis as selected during registration. Key billing terms: - **Price Lock**: Your subscription price is locked at the time of purchase (grandfather clause) - **Auto-Renewal**: Subscriptions automatically renew unless cancelled before the renewal date - **Upgrades**: Take effect immediately with prorated billing - **Downgrades**: Take effect at the end of the current billing cycle - **Refunds**: We offer a 30-day money-back guarantee for new subscriptions - **Late Payment**: Accounts with overdue payments may be suspended after a 7-day grace period
Data Ownership
You retain full ownership of all data you input into Intraprism. We do not claim any intellectual property rights over your content. You grant us a limited license to process your data solely for the purpose of providing our services. Upon account termination, you may export your data within 30 days.
Acceptable Use
You agree not to: - Use the service for any unlawful purpose - Attempt to gain unauthorized access to any part of the service - Interfere with or disrupt the service or servers - Upload malicious code or content - Use the service to send spam or unsolicited communications - Reverse engineer, decompile, or disassemble the service - Resell or redistribute the service without authorization - Use the service in violation of any applicable data protection laws
Service Level Agreement
We commit to a 99.9% uptime SLA for all paid plans. This excludes: - Scheduled maintenance (announced at least 48 hours in advance) - Force majeure events - Issues caused by third-party services or your own infrastructure If we fail to meet the SLA, affected customers may be eligible for service credits as described in our SLA policy.
Intellectual Property
Intraprism, including its code, design, logos, and documentation, is the intellectual property of Intraprism. You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription period. This license does not include the right to modify, distribute, or create derivative works based on our service.
Limitation of Liability
To the maximum extent permitted by law, Intraprism shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid for the service in the 12 months preceding the claim.
Termination
Either party may terminate the subscription at any time. Upon termination: - Access to the service will end at the end of the current billing period - You may export your data within 30 days of termination - After 30 days, all data will be permanently deleted - Backup copies will be purged within 90 days - Any outstanding payments remain due
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. For material changes, we will provide at least 30 days notice via email. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of San Francisco, California.
